Background

RBL In 2014, RBL successfully represented Yakiniku Futago (FTG Company), a full service restaurant operation offering Japanese style barbeque cuisine. FTG, founded only 5 years ago by twin brothers Sunchol and Sunbong Lee, enjoyed huge success in Asia, operating 40 locations in Japan, Taiwan, and Hong Kong. Based on their explosive growth in Asia, FTG decided to expand immediately into the US market. With limited knowledge of US law, FTG retained RBL for its expertise in immigration and corporate law in order to establish their US locations in Honolulu and New York City.

RBL successfully represented FTG in the following legal matters:

  • General Corporate: Identified appropriate legal entity and established US subsidiary of Japanese corporation, completed the registration of their Assumed Name, drafted corporate By-Laws, issued and transferred Shares to the Japanese Parent Company, and outlined FTG’s corporate operating policies in the US.
  • Immigration: Obtained appropriate work visas for all foreign FTG personnel in approximately 2 months to facilitate the transfer of top executives and managers from Japan to the US.
  • Employment: Established FTG’s HR policies in the US, drafted Employment Agreements for local hires, drafted Employment Handbook identifying employment policies and guidelines, advised on various Employment Law issues such as recruiting, hiring, firing, overtime wages, etc.
  • Intellectual Property: Identified IP protection needs and registered US trademarks, researched pre-litigation issues such as potential IP disputes with US competitors.
